This company petition is instituted under section four hundred and thirty three of the Companies Act seeking an order for the winding up of the respondent company on the ground of its sheer inability to pay its legally admitted debts. The petitioner is a registered partnership firm engaged in the business of supplying essential raw materials to various manufacturing industries across the state. According to the petition, the respondent company placed several purchase orders for the supply of industrial grade chemicals over a period of two years. The petitioner diligently supplied the requested materials and raised corresponding commercial invoices, which were duly acknowledged by the authorized representatives of the respondent without any demur regarding the quality or quantity of the goods. However, the respondent utterly failed to clear the outstanding dues despite repeated verbal reminders and written communications. Consequently, a statutory demand notice under section four hundred and thirty four of the Act was formally served upon the registered office of the respondent, calling upon them to pay the entire principal amount of rupees fifty lakhs along with accrued interest within a period of twenty one days.
The respondent neither replied to the statutory notice nor made any effort to liquidate the pending financial liability. In the present proceedings, the learned counsel for the petitioner vehemently argued that the legal presumption of insolvency has been firmly established, and the defense raised by the respondent is nothing but a moonshine and an afterthought to defeat the legitimate claims of the honest creditors. Conversely, the learned advocate appearing for the respondent company strongly opposed the admission of the petition, contending that there exists a bona fide commercial dispute regarding the substandard quality of the materials supplied by the petitioner. It was submitted that the winding up jurisdiction of this Court cannot be invoked as an alternative mechanism for the recovery of disputed commercial debts.
After carefully considering the rival submissions and perusing the voluminous documents placed on record, it is a well settled principle of corporate jurisprudence that a winding up petition is not a legitimate means to pressurize a commercially solvent company to pay a genuinely disputed debt. However, in the present case, the respondent has completely failed to produce any cogent documentary evidence to substantiate their vague allegations regarding the allegedly defective quality of the goods prior to the issuance of the statutory notice by the petitioner firm here today.

6) शब्द गाळणे, चुकीचा शब्द टाइप करणे, अतिरिक्त शब्द जोडणे, स्पेलिंग मिस्टेक,पॅराग्राफची चूक हे पूर्ण चूक मानण्यात येते.
